Service Description FinOptory for SAP RISE

The German version of this Service Description is the legally binding document. This English translation is provided for convenience. In the event of any discrepancy, the German version shall prevail.

This Service Description governs the content and scope of the managed service "FinOptory for SAP RISE" between GD Green Dopamine GmbH, Seehügelweg 1f, 9500 Villach, Austria ("Service Provider"), and the contractual partner named in the applicable Order Form ("Client").

It forms part of the applicable Order Form. Where the Order Form contains deviating provisions, those provisions take precedence.

1. Subject Matter of the Service

FinOptory for SAP RISE is a managed service for the ongoing contractual and commercial management of SAP RISE contract engagements.

The objective of the service is to provide transparency over contract structure, cost development and consumption; continuous governance of contractual risks and options; and reliable decision-making foundations for IT, procurement and management.

The Service Provider is obliged to perform the agreed services professionally, but does not owe any specific commercial outcome.

2. Service Modules

2.1 Module 1: Run & Govern (Core Service)

Run & Govern encompasses the continuous contractual and commercial management of the SAP RISE contract over its entire term. The service combines the FinOptory Intelligence Platform with dedicated SAP contract expertise — one point of contact, not a rotating consulting team.

a) Contract Analysis & Ongoing Governance

  • Analysis and monitoring of contract progression, cost development, consumption and contractual mechanics (ACV, funding, derived charges, phase transitions)
  • Creation and maintenance of management and decision-making foundations, including fact sheets and contract summaries
  • Deviation detection between contract and operational reality — automated via the platform, assessed by the Service Provider
  • Cost simulation and what-if scenarios before contract decisions (e.g. phase changes, volume adjustments, system modifications)

b) Governance Checkpoint (every 14 days)

Every two weeks, the Service Provider delivers a consolidated briefing comprising:

  • Contract Status Review: current costs, consumption and deviations from plan
  • Intelligence Report with recommendations where risks or optimisation potential have been identified
  • Assessment of upcoming SAP events in the context of the contract (e.g. measurements, price changes, roadmap updates)
  • Decision papers with commercial assessment of the available options

Format: review call (approx. 60 min.) plus written report in the platform.

c) Event-Driven Briefings

  • Initial assessment of contract-relevant SAP events (e.g. measurement announcements, price changes): within 48 hours during service hours
  • Ad-hoc briefings for procurement as required (e.g. before negotiation rounds or budget reviews)

d) Migration Support (where applicable)

During active migration phases in the SAP RISE engagement:

  • Assessment of the commercial impact of migration delays on contract phases and costs
  • Reconciliation of the system landscape against contractual positions at migration milestones
  • Assessment of capacity and cost fluctuations during migration

2.2 Module 2: Renewal Governance (optional)

Available upon separate commission:

  • structured preparation of contract renewals,
  • scenario analyses and decision preparation,
  • support of internal alignment in negotiation decisions.

Not included: conducting negotiations on behalf of the Client and legal advice.

2.3 Module 3: Custom Capability Enablement (optional)

Available upon separate commission:

  • individual supplementary analyses,
  • integration of additional data and contract sources,
  • role-specific enablement sessions,
  • further development of Client-side governance processes.

2.4 Onboarding (one-time)

A one-time initial service for capturing, structuring and modelling the relevant SAP RISE contract foundations and establishing the operational readiness of Run & Govern.

3. Platform-Based Service Delivery

The Service Provider uses the FinOptory Intelligence Platform to deliver the service. The Client receives its own tenant with access to the following functional areas:

Portfolio & Contract Dashboard

  • Overview of all SAP contracts with ACV tracking, contract phases, funding allocation and renewal countdown
  • Detail view per contract: fact sheet, phase management, price lists, SKU structure, derived charges and discount tracking

System & Technology Overview

  • Inventory of all SAP systems with landscape assignment and role classification (PRD, QAS, DEV, Sandbox)
  • Phase timeline: calendar-based representation of system lifecycles and migration phases
  • Commercial impact: cost effect at system level for changes in the landscape

Governance & Risk Management

  • Governance policies: rule-based triggers with severity levels (Critical, Warning, Info) for categories such as funding, renewal, consumption, migration and cost control
  • Automatic alerts on deviations between contract and operational reality
  • Risk register: risk tracking with status, probability, impact and mitigation measures
  • Task management: task tracking with status, priority and tags

Amendments & Change Management

  • Structured change management for commercial contract modifications (migration, system change, funding change, renewal, correction)
  • Clone-based editing: changes are created as simulations and activated only after approval
  • Diff view: comparison between baseline and amendment version

Cost Simulation & What-If Scenarios

  • Scenario clones: complete contract copy for simulations without impact on the baseline
  • Comparison view between scenarios for assessing financial impact before contract decisions

Document Management & AI Analysis

  • Upload and storage of contract documents with AI-assisted indexing
  • AI-based contract analysis: context-specific evaluation and extraction of relevant contract information

Reporting & Benchmarking

  • Fact sheets and contract summaries with export as PDF, Excel and PowerPoint
  • Benchmark comparison: positioning of own contract metrics against anonymised market data

The platform is an integral component of the service and does not constitute an independent software licence. Access ends with the contract.

4. Data Integration and Updates

Data integration is carried out in a structured manner and is continuously maintained.

  • Automated data updates for connected sources on business days,
  • manual maintenance of individual components at least weekly,
  • continuous monitoring for contract- and cost-relevant deviations.

5. Service Levels (SLA)

The following service levels apply to service delivery:

  • Platform access: FinOptory Intelligence Platform available throughout the contract term
  • Data synchronisation (automated): daily update of connected SAP operational data on business days
  • Dashboard maintenance (manual): update of individual components (derived charges, transitions, fact sheets) at least weekly
  • Governance checkpoint: every 14 days (review call plus written report)
  • Initial assessment of contract-relevant SAP events: within 48 hours during service hours
  • Service hours: Monday to Friday, 09:00 to 16:00 CET — dedicated point of contact
  • Data export at contract end: within 4 weeks of contract termination in a commonly used format

Planned maintenance and force majeure are excluded.

6. Client Cooperation Obligations

The Client shall provide in a timely manner:

  • at least one technically qualified point of contact,
  • required contract documents and commercial foundations,
  • agreed access to relevant portals and data sources,
  • timely feedback on outstanding subject-matter questions.

Delays or limitations resulting from unfulfilled cooperation obligations shall postpone delivery dates accordingly.

7. Data Protection and Sub-Processors

Where personal data is processed, this is done exclusively on behalf of the Client in accordance with applicable data protection requirements.

The Service Provider is entitled to engage suitable sub-processors, provided they are contractually bound and subject to equivalent data protection obligations.

8. Data Ownership and Contract Termination

Data ownership remains with the Client, and the process at contract end is clearly defined.

  • Client-specific contract, consumption and analysis data remains with the Client.
  • Data export of Client data is carried out on request and is provided free of charge.
  • After contract termination, access to the platform is discontinued.
  • Data is exported in accordance with the contractual agreement and then deleted, unless statutory retention obligations apply.

9. Scope Limitations

The following are expressly not included in the service:

  • technical implementation, migration or system operations,
  • project management on the Client's side,
  • legal advice or binding legal interpretation of contracts,
  • representation in negotiations with third parties.

10. Flexibility Clause

The managed service is designed as a collaborative, ongoing governance service. Within Module Run & Govern, the substantive focus may be adjusted to reflect the current contract and project situation.

If a persistent, unforeseeable increase in workload (e.g. unplanned measurements, material contract changes, additional migrations) leads to a structural expansion of effort, the parties shall agree in writing on an appropriate adjustment to the scope of services and/or remuneration.

11. Term and Renewal (order-specific)

Term, renewal mechanism and notice periods are governed by the applicable Order Form.

12. Order of Precedence and Contract Reference

In the event of conflicts, the following order of precedence applies:

  1. applicable Order Form,
  2. this Service Description,
  3. General Terms and Conditions.

Amendments and supplements require written form.
